These Terms of Service ("Terms") are a legal agreement between you ("you", "the Customer") and Orbi Hosting ("we", "us", "our"), a company registered in England and Wales (company number [Company Number]) whose registered office is at [Company Registered Address]. They govern your access to and use of our websites, hosting, domain, SSL, game server and related services (together, the "Services"). By creating an account, placing an order or using the Services you agree to these Terms.
1. The agreement
These Terms, together with our Acceptable Use Policy, Privacy Policy, Refund & Cancellation Policy and any product-specific terms (for example our Domain Registration Agreement and SSL Certificate Terms), form the whole agreement between us. Where a product-specific term conflicts with these Terms, the product-specific term applies for that product.
2. Your account
- You must provide accurate, current and complete information and keep it up to date.
- You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account, including any sub-accounts you create.
- You must be at least 18 years old, or the age of majority in your jurisdiction, and able to enter into a binding contract.
- You must notify us promptly at [Company Email] of any suspected unauthorised use of your account.
3. Ordering and provisioning
An order is an offer to purchase. A contract is formed when we accept your order, which we may do by provisioning the Service or confirming your order by email. We may refuse or cancel an order (for example where we suspect fraud, or where pricing was displayed in error) and, if we do, we will refund any sums paid for that order.
4. Fees, billing and renewals
- Fees are as shown at the time of ordering and are stated in pounds sterling (£) unless otherwise indicated. Prices may be exclusive or inclusive of VAT as shown at checkout.
- Services are billed in advance on a recurring basis for the billing cycle you select.
- Automatic renewal: to avoid interruption, Services renew automatically at the end of each billing cycle and we will attempt to charge your stored payment method, unless you cancel before the renewal date.
- If a payment fails or an invoice is not paid by its due date, we may suspend the Service and, after a reasonable period, terminate it and delete associated data.
- We may change our fees; we will give you reasonable notice before a change takes effect at your next renewal.
5. Your responsibilities
You are responsible for your content, your end users, and your compliance with our Acceptable Use Policy. You must maintain your own backups of any data you consider important; while we may provide backup features, we do not guarantee them and they are not a substitute for your own backups.
6. Suspension and termination
- You may cancel a Service at any time in accordance with our Refund & Cancellation Policy.
- We may suspend or terminate a Service immediately if you breach these Terms or the Acceptable Use Policy, fail to pay, or where we are required to do so by law or by an upstream supplier.
- On termination your right to use the Service ends and we may delete associated data. Please export anything you need before cancelling.
7. Third-party services
Some Services rely on third-party suppliers (for example payment processors, domain registries and registrars, certificate authorities, and control-panel or game-panel providers). Your use of those Services may also be subject to the suppliers' terms, and their availability is outside our direct control.
8. Availability
We aim to provide reliable Services but, except as set out in any applicable Service Level Agreement, the Services are provided on an "as available" basis. We may carry out maintenance and will try to give notice of planned maintenance where practical.
9. Our liability
Nothing in these Terms limits or excludes our liability where it would be unlawful to do so (including for death or personal injury caused by our negligence, or for fraud). Subject to that, we are not liable for loss of profits, revenue, data, goodwill or business, or for indirect or consequential loss; and our total liability to you in any 12-month period is limited to the fees you paid us for the affected Service in that period. Nothing in these Terms affects your statutory rights as a consumer.
10. Data protection
We process personal data in accordance with our Privacy Policy. Where we process personal data on your behalf as your processor, our Data Processing Agreement applies.
11. Changes to these Terms
We may update these Terms from time to time. Where changes are material we will give you reasonable notice, for example by email or by asking you to re-accept them when you next sign in. Continuing to use the Services after a change takes effect means you accept the updated Terms.
12. Governing law and jurisdiction
These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that if you are a consumer you may also bring proceedings in the courts of the part of the UK in which you live.
